Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Synura platform (“Platform”, “Service”) operated by Praxivox Limited, a company registered in England and Wales (company number 16988015) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ (“Praxivox”, “we”, “us”, “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.

1. Service Description

Synura is a health data exchange platform providing message translation, routing and delivery.

Synura operates as a data transport and translation layer. It receives healthcare messages from sending systems, translates them between supported formats according to published standards, and routes them to configured destination systems. Synura does not interpret, validate or act upon the clinical content of messages. The sending and receiving systems are responsible for the clinical validity, completeness and appropriateness of the data they transmit and receive. Synura is not a medical device, a clinical decision support system or a clinical information system. Nothing in the Service constitutes clinical advice. Healthcare regulatory frameworks that apply to clinical systems, including DCB0129 and DCB0160, do not apply to Synura in its capacity as a data transport service. 2. Account Registration and Sandbox

When you create an account, you are granted access to a sandbox environment. In sandbox mode, you may configure endpoints, mappings and connections, but no live data will flow through the Platform. Sandbox access has no time limit.

You must provide a valid email address and verify it before accessing the Platform. You are responsible for maintaining the security of your account credentials. You must notify us immediately at hello@synura.io if you become aware of any unauthorised use of your account.

3. Subscription and Billing

3.1 Going Live. To activate live data flow, you must subscribe to a paid tier by completing the checkout process. On successful payment, your account status changes from sandbox to active and data flow begins.

3.2 Tiers. The Service is offered in the following tiers:

  • Transport (£49 per endpoint per month). MLLP/TLS proxy, SFTP and HTTPS ingress alternatives, Synura Connect agent, mailbox queue, audit log, dead-letter queue, dashboard, 7-day message retention, standard support.
  • Translate (£99 per endpoint per month). Everything in Transport plus HL7 v2 to FHIR R4 translation across all supported message types, Z-segment passthrough, customer-defined mapping profiles per connection, STU3 to UK Core R4 (CareConnect), FHIR Converter and Field Mapping tools, 30-day message retention, priority support.
  • Orchestrate (£249 per endpoint per month). Everything in Translate plus bidirectional org_links, multi-party flows, mailbox and pull-mode delivery, HIE order queue, AES-256-GCM encryption at rest, customer-facing alerts and audit log and flow stats and topology dashboards, 90-day message retention, custom SLA and dedicated support channel.

All prices are in GBP and exclusive of VAT, which will be added where applicable. Praxivox VAT registration number: 514106241.

3.3 Auto-Renewal. Subscriptions renew automatically on a monthly billing cycle. Your payment method will be charged at the start of each billing period at the then-current rate for your tier and endpoint count. We will provide reasonable notice of any price changes before they take effect.

3.4 Cancellation. You may cancel your subscription at any time via the Platform dashboard or by emailing hello@synura.io. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period you have already paid for. After cancellation, your account reverts to sandbox mode.

3.5 No Refunds. No refunds are issued for partial billing periods. If you cancel mid-cycle, you are not entitled to a pro-rata refund for the remainder of that billing period. You will continue to have full access to the Service until the end of the paid period.

3.6 Payment Processing. Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe’s terms of service. We do not store your payment card details.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to transmit data that you do not have the lawful right to transmit
  • Attempt to gain unauthorised access to any part of the Service, other accounts or systems connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile or disassemble any aspect of the Service
  • Use the Service to transmit malware, viruses or other harmful code
  • Resell, sublicence or redistribute access to the Service without our prior written consent
  • Use the Service in any way that violates applicable laws or regulations, including data protection laws

We reserve the right to suspend or terminate your access if we reasonably believe you are in breach of this section.

5. Data Processing and Privacy

We process personal data in accordance with our Privacy Policy. Where you use the Service to transmit personal data, Praxivox acts as a data processor on your behalf and you act as the data controller. The terms of our Data Processing Agreement (“DPA”) apply to all personal data processed through the Service.

Health data transmitted through the Service may constitute special category data under Article 9 of UK GDPR. You are responsible for ensuring you have a valid lawful basis for processing this data and for transmitting it through the Service.

Message retention periods are determined by your subscription tier: 7 days for Transport, 30 days for Translate, and 90 days for Orchestrate (or longer where agreed in writing). Messages are automatically deleted after the applicable retention period expires. You may export your data at any time via the API.

6. Intellectual Property

All intellectual property rights in the Service, including the Platform, its software, APIs, documentation and branding, belong to Praxivox. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service in accordance with these Terms.

Data you transmit through the Service remains your property. We claim no ownership rights over your data.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, Praxivox’s total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Service shall not exceed the total fees paid by you to Praxivox in the 12 months immediately preceding the event giving rise to the claim.

7.2 Praxivox shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business or goodwill, howsoever arising, even if we have been advised of the possibility of such damages.

7.3 Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable law.

7.4 The Service is provided for data transport and translation purposes. Praxivox does not warrant that the Service is suitable for use as a component of any clinical system, clinical workflow or clinical decision-making process. You acknowledge that Synura is a data logistics service and that clinical responsibility for the content of messages remains with the sending and receiving systems at all times.

8. Availability and Support

We aim to provide a reliable and available Service, but we do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable prior notice. Support response times and service levels vary by tier.

9. Changes to the Service and Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you may cancel your subscription.

We may modify, update or discontinue features of the Service. We will provide reasonable notice of any changes that materially reduce the functionality of your subscribed tier.

10. Termination

We may suspend or terminate your access to the Service immediately if you materially breach these Terms, including failure to pay fees when due, breach of acceptable use, or if required by law.

On termination for any reason, you will have 30 days to export your data via the API. After 30 days, we will delete your data in accordance with our Privacy Policy and DPA.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
